Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Packly website, platform, and services (collectively, the "Service"), operated by Packly, Inc. ("Packly," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

You must be at least 18 years old (or the age of majority in your jurisdiction) to use Packly. By using the Service, you represent and warrant that you meet this requirement.

Packly is a digital collectibles platform that allows users to:

• Purchase and open digital packs
• Receive digital items, credits, or collectibles
• Redeem certain items for physical collectibles, where offered
• Exchange or sell back eligible items for platform credits, subject to Packly's rules

All pack contents are digitally generated and revealed at the time of opening.

Packly is an independent platform and is not affiliated with, endorsed by, or sponsored by any third-party brands, licensors, or intellectual property holders.

Any references to card styles, themes, or mechanics are original and proprietary to Packly.

To access certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Accept responsibility for all activity under your account
• Maintain one account per person. You may not create, operate, or control multiple accounts, or permit another person to operate your account on your behalf.

Packly is not responsible for unauthorized access caused by your failure to safeguard your account.

Promotional benefits, including free packs, daily rewards, giveaway entries, level rewards, and referral rewards, are limited to one person per promotion and, where stated, one entry per device. Packly may use signals such as device identifiers, network information, and payment instrument identifiers to identify accounts operated by the same person.

• All purchases are processed through third-party payment processors.
• Prices, pack contents, and odds are subject to change at Packly's discretion.
• All sales are final, except where required by law.
• Chargebacks, payment disputes, or suspected fraud may result in account suspension or termination.

• Digital items, credits, or currency ("Virtual Items") have no real-world monetary value.
• Virtual Items are licensed, not owned.
• Virtual Items cannot be transferred outside the Packly platform unless explicitly permitted.
• Packly may modify, restrict, or remove Virtual Items at any time.

• Pack contents are distributed using a randomized system.
• Stated odds reflect probability at the time of opening.
• Packly does not guarantee value, rarity, or profitability.
• Past results do not guarantee future outcomes.

If Packly offers physical redemption:

• Redemption eligibility, shipping fees, and timelines are disclosed at the time of redemption.
• Users are responsible for providing accurate shipping information.
• All physical cards are sourced in Near Mint (NM) condition. Near Mint is a raw-card condition designation and does not guarantee a specific grade from PSA, BGS, CGC, or any other professional grading company.
• Cards may be upgraded to the next tier if a lower version is not found.
• Packly is not responsible for damage that may occur during transit.
• Packly is not liable for delays, customs issues, or carrier errors.
• Redemption limits and expiration periods may apply.

Where offered:

• Buyback values are determined by Packly and may be below market value.
• Buyback rates are subject to change without notice.
• Buybacks are provided as platform credits only, not cash.

You agree not to:

• Exploit bugs, odds, or system vulnerabilities
• Use bots, automation, or scripts
• Engage in fraud, abuse, or chargeback manipulation
• Operate multiple accounts, or coordinate with others, to obtain promotional benefits more than once, including free packs, daily rewards, giveaway entries, level rewards, first-purchase bonuses, and referral rewards
• Refer accounts you create or control, or otherwise claim referral rewards on purchases you fund yourself
• Transfer items or credits between accounts you control, or collude with other users, to concentrate or disguise value obtained through any of the above
• Attempt to reverse engineer the platform
• Use the Service for unlawful purposes

Violations may result in immediate account termination.

Packly reserves the right to suspend or terminate accounts at its sole discretion, including for:

• Violation of these Terms
• Fraud or abuse
• Operating multiple accounts or abusing promotional features
• Legal or regulatory risk

Where an account has obtained promotional benefits in breach of these Terms, Packly may take proportionate action instead of, or in addition to, termination, including withholding or reversing the promotional credits, rewards, or items involved, excluding the account from future promotions, or restricting redemption.

Unused Virtual Items may be forfeited upon termination.

All content, designs, graphics, code, and branding on Packly are the exclusive property of Packly, Inc. or its licensors.

You may not copy, distribute, modify, or exploit any content without written permission.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

PACKLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PACKLY SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
• LOSS OF PROFITS, DATA, OR DIGITAL ITEMS
• USER DECISIONS BASED ON PACK RESULTS

PACKLY'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE LAST 30 DAYS.

You agree to indemnify and hold harmless Packly from any claims, losses, or damages arising from:

• Your use of the Service
• Violation of these Terms
• Violation of any law or third-party rights

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Any disputes shall be resolved through binding arbitration, except where prohibited by law.

Packly may update these Terms at any time. Continued use of the Service constitutes acceptance of the updated Terms.
